This website (opalskymedia.com) and all related media services are owned, managed, and operated by Opal Sky Media FZE LLC (أوبال سكاي للإعلام م م ح ذ م م), a Free Zone Establishment legally incorporated under the laws of the United Arab Emirates.

By accessing our website, requesting a project proposal, booking studio sessions, or contracting Opal Sky Media FZE LLC for production, filming, media consultancy, or event management services, you ("Client", "User", or "Customer") agree to be legally bound by these Terms and Conditions.

If you are executing this agreement on behalf of a corporate entity, company, or organization, you represent and warrant that you possess full legal authority to bind that entity to these Terms.

Opal Sky Media FZE LLC provides specialized digital studio and event management solutions across the United Arab Emirates and internationally, including but not limited to:

• Audio & Podcast Studio Production: Audio recording, multi-track studio mixing, mastering, sound engineering, and multi-cam podcast video capture.
• Video & Post-Production: Commercial videography, corporate videos, video editing, color grading, motion graphics, sound design, and content repurposing.
• Media Consultancy & Strategy: Content planning, broadcasting consultancy, digital media distribution strategy, and channel management.
• Parties & Event Filming: On-location multi-camera event capture, live coverage, conference recording, and highlight reel editing.
• Event Organization & Management: Corporate event planning, trade show media coverage, conference production, and facility staffing management.

Specific deliverables, timelines, session hours, and technical specifications for each engagement shall be detailed in individual Service Quotations, Invoices, or Statements of Work (SOW).

All bookings, studio reservations, and project commissions are subject to the following financial terms:

• Quotations & Currencies: All prices are quoted in United Arab Emirates Dirhams (AED) or USD unless otherwise explicitly specified in writing. Applicable Value Added Tax (VAT) under UAE laws will be charged where applicable.
• Deposit Requirements: A non-refundable deposit of 50% is required upon booking confirmation to secure studio time, production personnel, and equipment. The remaining balance is payable prior to final high-resolution deliverable release.
• Studio Overtime: Studio sessions run according to scheduled appointment slots. Overtime requested by the client during a production session will be billed at standard hourly overtime rates in 30-minute increments.
• Payment Methods: Payments may be made via bank transfer, credit card, or authorized digital payment gateways provided by Opal Sky Media FZE LLC.

Final Deliverable License: Upon full payment of all invoices related to a project, Opal Sky Media FZE LLC grants the Client a non-exclusive, worldwide, perpetual right and license to use, publish, distribute, and broadcast the final edited audio and video deliverables for the agreed commercial or personal purposes.

Raw Project Files & Unedited Footage: Raw video footage (B-roll, raw audio stems, project source files, project project files in Premiere/DaVinci/ProTools) remain the intellectual property of Opal Sky Media FZE LLC unless explicitly transferred under a separate written Raw Media Purchase Agreement.

Portfolio Rights: Unless agreed otherwise under a signed Non-Disclosure Agreement (NDA), Opal Sky Media FZE LLC reserves the right to display final work samples, behind-the-scenes clips, and client logos in its portfolio, website, showreel, and promotional media channels.

The Client guarantees and warrants that all logos, music, trademarks, script text, images, sound recordings, and materials provided to Opal Sky Media FZE LLC for inclusion in any production are fully owned by the Client or properly licensed.

Opal Sky Media FZE LLC reserves the absolute right to decline production or recording of any material deemed illegal, defamatory, blasphemous, infringing, or violating UAE media standards.

For event filming, conference coverage, trade shows, and external location shoots:

• Location Access & Permits: The Client is responsible for securing all necessary venue permissions, entry passes, filming permits, and security clearances required for Opal Sky Media crew and equipment.
• Force Majeure & Venue Restrictions: Opal Sky Media FZE LLC is not liable for filming disruptions caused by venue power outages, bad weather, security restrictions, or unauthorized crowd intervention beyond our reasonable control.
• Equipment Protection: In the event of adverse environment or hazardous location conditions, crew leads hold final discretion regarding equipment safety.

We understand that production schedules can change. Cancellations and rescheduling requests are subject to the following terms:

• Rescheduling (More than 48 Hours Notice): Client may reschedule a booked studio or filming session once without penalty if written notice is provided at least 48 hours in advance.
• Late Cancellation (Less than 48 Hours Notice): Cancellations or rescheduling requests received less than 48 hours before the scheduled session will forfeit the 50% deposit to cover unrecoverable crew and studio allocation costs.
• No-Show Policy: Failure to arrive within 45 minutes of a scheduled studio booking without notification will result in session cancellation and full billing.

To the maximum extent permitted by law in the United Arab Emirates:

• Opal Sky Media FZE LLC shall not be liable for any indirect, incidental, punitive, or consequential damages, loss of business revenue, or data loss arising from project delays or technical failures.
• Our maximum cumulative financial liability for any claim related to our services shall not exceed the total amount paid by the Client to Opal Sky Media FZE LLC for the specific project in question.
• The Client agrees to indemnify and hold harmless Opal Sky Media FZE LLC, its directors, managers, officers, and employees against any claims, losses, or legal fees resulting from copyright infringement in client-supplied materials.

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the federal laws of the United Arab Emirates and the local laws applicable in the Emirate of Sharjah.

Any dispute, controversy, or legal action arising out of or in connection with these Terms or our services shall be submitted to the exclusive jurisdiction of the competent courts of Sharjah or the specialized tribunals of the Sharjah Publishing City Free Zone Authority.
